TEPSA REGION XI
TEXAS ELEMENTARY PRINCIPALS AND SUPERVISORS ASSOCIATION

ARTICLE I

NAME AND PURPOSE

Section 1. Name. The name of this organization shall be the Region XI Texas Elementary Principals and Supervisors Association (TEPSA) hereafter referred to as the TEPSA Region XI.

Section 2. Purpose. This entity is a region unit of TEPSA. The purposes of TEPSA Region XI are:
(1) to promote and recruit membership from within the Region’s boundaries;
(2) to provide support for the principals, assistant principals and supervisory members of the Region;
(3) to serve the educational needs of the children of this State through the improvement of elementary education; and
(4) to serve the needs of the membership through various activities and services available through the Association or developed within the Region and as approved by the Association.

Section 3. Boundaries. The Region’s boundaries shall coincide with Region Service Center boundaries as established by TEA, provided that the TEPSA Board shall have the authority to vary from such boundaries when the Board determines that such variance is in the best interest of the Association.

Section 4. Changing Region Boundaries. Any voting member of the Region or Association in good standing may petition the Association Board to change one or more Region boundaries. Each request shall be made in writing and shall state the reason(s) for the proposed change. The TEPSA Executive Committee shall review the request and make a recommendation to the TEPSA Board, which shall then render a decision.

Section 5. Compliance with Association. The Region operates under the 501(c)6 designation of TEPSA. Accordingly, the Region shall comply with all applicable Bylaws and Governance Policies and Procedures of the Association at all times.
 
ARTICLE II
MEMBERSHIP

Section 1. Members of the Association. This region organization shall embrace such organizations and members as are included in Region XI of TEPSA. Any person who has joined TEPSA and resides in this region shall be eligible for membership upon payment of the annual dues. The membership year shall run concurrently with that of the TEPSA state organization.

Section 2. Classes of Membership. There shall be classes of membership as determined by the TEPSA Board of Directors: Active and such other classes as deemed appropriate by the Board. Each member in the Active class of membership shall be entitled to one (1) vote. Each member in the other classes will not have the privilege of voting or holding office.

Section 3. Dues and Fees. Membership dues shall be set annually at a meeting of the TEPSA Board of Directors.

ARTICLE III
MEETINGS OF MEMBERS

Section 1. Annual and General Meetings. There shall be a TEPSA Region XI meeting held each fall, and a minimum of one additional general meeting shall be held by the region each year. Additional meetings may be called, as deemed necessary, by the TEPSA Region XI Executive Committee.

Section 2. Notice. Reasonable notice (30 days recommended) of meetings shall be given prior to the date of the region meeting. Notice may be given personally, by mail to the last known address of any member, or by electronic means.

Section 3. Voting. Current, active members are eligible to vote.

Section 4. Membership Lists. TEPSA shall maintain and make available to TEPSA Region XI accurate lists of members eligible to vote at the annual meeting or any special meeting called by the members, in accordance with applicable law and TEPSA Governance Policies and Procedures.

ARTICLE IV
REGION OFFICERS AND ELECTIONS

Section 1. General Powers. The activities, property, monies, and affairs of the TEPSA Region XI shall be managed by the Region XI Executive Committee who may exercise all such powers of the region unit as permitted by these Bylaws and the TEPSA Governance Policies and Procedures.

Section 2. Number. The officers of this region association shall consist of a minimum of three (3) region officers. These may be: President, President-Elect, First Vice-President, Second Vice-President, Secretary, Treasurer and Past President.

Section 3. Qualifications. Any voting member of TEPSA Region XI in good standing who deals directly with prekindergarten through grade eight instructional programs may be elected to region office. Every effort should be made to ensure representation from across the entire region. President and President-Elect should not represent the same school district. Should members become ineligible to be voting members as described in TEPSA Governance Policies and Procedures, they shall automatically relinquish their position as a region officer.

Section 4. Election. Region officers shall be elected by a majority vote of the TEPSA Region XI active, voting members. Elected officers shall assume office July 1.

Section 5. Term of Office. The term of office for region officer shall be 1 year(s). Officers may be reappointed or reelected to additional terms, provided that no such person shall serve more than two (2) consecutive terms in the same position.

Section 6. Filling of Vacancies. Any vacancy during the term of the region officers shall be filled within thirty (30) days by the affirmative vote of a majority of the remaining officers. Any officer appointed to fill a vacancy shall hold office until the end of the term of the vacancy to which he or she was appointed. In the case of a vacancy of the office of President, the President-Elect shall succeed to the Presidency.

Section 7. Removal and Resignation. Any officer may be removed, either for cause or without cause, at any regular or special meeting of the region officers by an affirmative vote of a majority of the number of officers as fixed by these Bylaws, provided that the notice of the meeting states that removal of the officer is to be considered. Any officer may resign at any time by sending written notice to the Region President. The resignation shall take effect at the time specified, but in no case before notice is received.

Section 8. Meetings. There shall be at least two (2) meetings of the Region Executive Committee each year. Reasonable notice of meetings shall be communicated to all officers prior to the date of the meeting.

Section 9. Quorum. At all meetings of the Region Officers, the presence of a majority of the number of officers fixed by these Bylaws shall be necessary and sufficient to constitute a quorum for the transaction of business.

Section 10. Voting and Proxy. Region officers may vote in person or by electronic means, upon reasonable notice provided by the Region President. Proxy voting shall not be allowed.

Section 11. Compensation. No officer shall receive compensation as a result of his or her service as a region officer. Officers may be reimbursed for actual expenses incurred on behalf of TEPSA Region XI, provided that the expense was authorized by the Region Executive Committee.

Section 12. Officer Responsibilities

  1. President. The Region President shall preside at all meetings of TEPSA Region XI; shall be, ex-officio, a member of all committees except the nominating committee; appoint committees as needed; and perform other duties as required by the association. The President shall serve as the program chair and shall supervise publicity of the region, and promote communication links between members. The President serves on the TEPSA Board of Directors and attends all meetings and performs all duties as described in the TEPSA Bylaws and Governance Policies and Procedures.
  2. President-Elect. The Region President-Elect shall serve as an assistant to the President and assume the duties of President in the absence of the President. The President-Elect shall organize social functions at the state conferences for Region members. The President-Elect shall attend all meetings of the TEPSA Board of Directors, and shall exercise such other powers and duties as determined from time-to-time by the Region Executive Committee.
  3. First Vice-President. The First Vice-President shall exercise such other powers and duties as determined from time-to-time by the Region Executive Committee.
  4. Second Vice-President. The Second Vice-President shall exercise such other powers and duties as determined from time-to-time by the Region Executive Committee.
  5. Secretary. The Secretary shall keep an accurate record of the meetings of the region unit and of the Executive Committee, and send copies to all members of the Region Executive Committee. The Secretary shall serve as the membership chairman for TEPSA Region XI as well as oversee the awards program and facilitate the selection of the TEPSAN of the Year, the Region Assistant Principal of the Year and the National Distinguished Principal nominee. The Secretary shall conduct the correspondence of the region unit. The Secretary shall exercise such other powers and duties as determined from time-to-time by the Region Executive Committee.
  6. Treasurer. The Treasurer shall be responsible for receiving and disbursing all monies of the association, and submit books for audit thirty (30) days prior to July 1. The Treasurer shall be responsible for an annual audit and for other fiscal matters of the association. A report of the audit shall be presented at the next Executive Committee meeting and to the membership at the fall meeting. The Treasurer’s signature shall be the authorized signature for all checking, savings, and investment accounts of the Region. The Treasurer shall exercise such other powers and duties as determined from time-to-time by the Region Executive Committee.
  7. Past President. The immediate Past President shall serve as Parliamentarian and shall exercise such other powers and duties as determined from time-to-time by the Region Executive Committee.
ARTICLE V
COMMITTEES

Section 1. Committees. Committees shall include the following: The Region Executive Committee, the Nominating Committee and any Temporary Committees deemed necessary.

Section 2. Executive Committee. The Region Executive Committee shall consist of the elected officers and the most recent Past-President as an ex-officio member. The President is chairman of this committee.

Section 3. Powers and Duties of the Region Executive Committee. The Region Executive Committee shall have the power to act on behalf of TEPSA Region XI in the intervals between region meetings. The Executive Committee shall keep accurate records of its proceeding and report all actions to the region members.

Section 4. Nominating Committee. The Nominating Committee shall be appointed by the Region Executive Committee.

Section 5. Powers and Duties of the Nominating Committee. The Nominating Committee shall conduct an annual skills and needs assessment of TEPSA Region XI to secure qualified potential region officers.

Section 6. Temporary Committees. Temporary Committees and special representatives shall be appointed by the President and approved by the Region Executive Committee. Temporary committees shall have only those powers and duties specifically designated by the Region Executive Committee.

ARTICLE VI
AMENDMENTS TO BYLAWS

These Bylaws may be amended by a 2/3 majority of the active members present at any general meeting of TEPSA Region XI, provided the proposed amendment has been distributed to the region membership prior to the meeting.

An accurate version of these TEPSA Region XI Bylaws, including date of revision, shall be filed with the TEPSA State Secretary.
